Common legal drafting terms and their meanings

Legal drafting uses standard terms with fixed meanings. “Shall” denotes a mandatory requirement, while “may” indicates discretion. “Hereinafter referred to as” shortens repeated references to names, and “subject to” allows an action conditional on another provision. “And/or” permits either or both options, while “provided that” introduces a specific condition that must be fulfilled.
