MS to let shareholders nominate board members

Microsoft has added a provision to its bylaws that allow up to 20 shareholders with at least 3% stake in the company to directly nominate up to two candidates to its board of directors. Several large companies have adopted such "proxy access" proposals over the past few years including Verizon, Western Union, and Bank of America.
